Summary: Reporting to the Assistant General Counsel, Corporate Transactions, this Senior Counsel role supports the Company’s Investments group by providing end-to-end strategic guidance and legal support for a wide range of investment transactions. These transactions include private fund investments, direct investments, managed accounts across asset classes as well as derivatives transactions and pension plan investments. The Senior Counsel will also play a critical role in supporting the Company’s M&A activity. This position requires a collaborative mindset, with focus on solutions and the ability to build constructive relationships with senior management and across Company stakeholders. This position will be instrumental in managing risks and maintaining strong legal standards within the growing FM Investments portfolio. Schedule & Location: This is a full-time office-based position in Boston, MA. Occasional overnight travel to other corporate locations in the US is required based on business needs. Responsibilities: Lead the legal structuring, drafting, and negotiation of complex investment transactions, including participation in debt facilities and ISDA agreements. Provide end-to-end legal support across the investment lifecycle, including initial execution of agreements and amendments. Provide legal support for the full cycle of M&A transactions. Partner closely with investment professionals to support underwriting, portfolio construction, and ongoing monitoring, with a focus on practical risk assessment and efficient execution. Serve as a trusted legal and business advisor to internal stakeholders across legal, risk, compliance, investments, and senior management. Manage relationships with external counsel and lead negotiations through complex or non-standard issues. Monitor legal, regulatory, and market developments affecting complex credit and capital structures and advise on implications. Contribute to the development and refinement of legal best practices to enhance risk management, consistency, and transaction efficiency. Qualifications: Deep experience structuring and negotiating private fund investments, direct investments and managed accounts across asset classes, pension and other portfolios. Strong knowledge of derivative products and experience drafting, reviewing and negotiating ISDA agreements. Experience supporting M&A transactions (term sheet through integration). Strong judgment and the ability to balance legal risk with commercial objectives in a long-term investment context. Collaborative style with the credibility and presence to operate as a senior advisor to experienced investment professionals and management. Ability to represent the Company with high credibility. Required Education: JD and admission in good standing to a U.S. jurisdiction. Highly Required Work Experience: Significant experience in a leading law firm and/or sophisticated investment or financial services organization.
